1. Definitions

a. “APS Group” or “we” means Allied Publicity Services (Manchester) Limited, a company registered in England and Wales with company number 681528, whose registered office is Chetham House, Bird Hall Lane, Stockport, Cheshire, SK3 0ZP.

b. “DHSC” means the UK Government’s Department of Health and Social Care.

c. “Terms” means these terms and conditions.

d. “User” or “you” means a user of the website and/or social care professionals seeking to order a CARE badge or badges for themselves or on behalf of a social care organisation via the website.

2. Background

a. APS Group has been appointed by DHSC to manage the ordering, fulfilment and distribution of CARE badges. For further information on CARE badges, please refer to the FAQs1.

3. Acceptance of these Terms

a. These Terms shall apply to your use of [(badges.adultsocialcare.uk)] (“the website”) and the distribution of CARE badges by APS Group on behalf of DHSC to the exclusion of any other terms that the User seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

b. Subject to these Terms and except where expressly stated, APS Group bears no responsibility or liability for the CARE badges and other resources it distributes on behalf of DHSC. All products and other resources distributed by APS Group on behalf of DHSC are the responsibility of DHSC.

4. Orders

a. You may be required to register your details by creating an account.

b. Orders for CARE badges can be made using the online order form. CARE badges and accompanying resources are supplied free of charge. Your order may need to be verified by DHSC. You can find more information about this in the FAQs5.

c. Once your order has been verified (if required), you will receive a confirmation email and we will arrange delivery of your CARE badges. Delivery will be made via with Royal Mail or DX Courier to the delivery address submitted with your order form. Whilst APS Group will make every effort to deliver your CARE badges within estimated timescales, delivery times are a guide only. Please see the FAQs6 for further details regarding delivery.

5. Order cancellations or returns

a. If you need to cancel an order or wish to make a return, please contact customer support on 0161 495 4879..

6. Licence to use materials

a. Your delivery of badges will include several leaflets signposting wellbeing support available to the adult social care workforce. Your confirmation email will also include a digital poster and links to various digital resources.

b. You may print off copies of the poster for use in your workspace. You must not modify the paper or copies of any materials you have printed off or downloaded in any way.

c. DHSC is the owner or licensee of all intellectual property rights in such materials. All rights are reserved.

d. We are the owner or licensee of all intellectual property rights in the website. You may print off copies any may download extracts of any pages from the website for your reasonable business use and you may draw the attention of others within your organisation to the content posted on the website.

e. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

f. Our status (and that of any identified contributors) as the authors of the content on the website must always be acknowledged.

g. You must not use any content from the website for commercial purposes without obtaining a licence to do so from us or our licensors.

h. If you use the website in breach of these Terms, your right to use the website will cease and any materials you have downloaded or created using materials from the website must be destroyed.

i. Where the website contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources.

7. Liability

a. If you are dissatisfied with the CARE badges or other materials received pursuant to these Terms, please contact our customer support on 0161 495 4879. who will review your query and may arrange delivery of replacement CARE badges or other resources where appropriate. DHSC is responsible for provision of any replacement products that do not meet the Users’ reasonable satisfaction upon receipt.

b. To the extent permitted by law, we exclude all implied conditions, warranties, representations or other terms that may apply to the website or any content on it.

c. We shall not be liable for any loss or damage, howsoever caused, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, which any person may directly or indirectly suffer arising under of in connection with:

Subject to the preceding sentence, the APS Group’s total liability (which shall include includes liability in contract, tort (including negligence), breach of statutory duty, or otherwise) in connection with the provision of services pursuant to these Terms shall not exceed the cost of delivery of the products in question.

8. Force majeure

APS Group shall not be liable if it is unable to carry out provision of the services pursuant to these Terms for any reason beyond its reasonable control including (without limiting the foregoing): Act of God; legislation; war; fire; flood; drought; inadequacy or unsuitability of any instructions, electronic file or other data or materials supplied by DHSC or the User; failure of power supply; lock-out, strike or other action taken by employees in contemplation or furtherance of a dispute; pandemic, epidemic; non-performance by suppliers or subcontractors, material supply chain disruptions or delays, any law or any action taken by a government or public authority (including without limitation imposing an export or import restriction, quota or prohibition) or failing to grant a necessary licence or consent or owing to any inability to procure materials required for the performance of the services.

9. Data Protection

We will only use your personal information as set out in our Privacy Policy7.

10. Law

These Terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales and the parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

11. Consumers

Nothing in these Terms shall affect the rights of consumers.
